Supplier Sale Terms vs Buyer PO: Resolve Conflicting Instructions
Read the supplier sale terms and buyer purchase order together before approving the order. List contradictory instructions and obtain an explicit agreed resolution. A document date, signature or familiar template does not by itself establish which term governs a disputed issue.
For procurement managers reconciling apparel order documents.
Start with a conflict register, not a preferred template
Place the proposed documents side by side and identify the exact versions being discussed. Extract conflicting instructions into a register with a reference to each clause. For example, one document might name a different approval event from the other. Describe the contradiction without deciding that either document automatically wins. Separate an actual conflict from a missing instruction: silence in one document needs clarification, but it is not necessarily a direct disagreement with the other document.
Ask for an agreed instruction on each issue
Send each conflicting pair to the appropriate commercial contacts and request one written resolution. Keep the original wording available so the response can be traced to the question. If the resolution changes another instruction, identify that dependency instead of silently editing a copy. A useful response names the issue, the agreed instruction and the documents affected. Avoid relying on a general email saying everything is fine when it does not explain how contradictory requirements should be handled.
Separate commercial acceptance from production instructions
A production team needs an unambiguous working instruction, but a marked tech pack cannot necessarily resolve a commercial dispute. Route questions about acceptance, cancellation, liability or other contractual effects through the buyer’s appropriate review process. Ask who is authorized to confirm the final document set. Keep a production hold on an unresolved instruction where the buyer’s process requires it. Do not turn a supplier’s acknowledgement of receipt into evidence that every buyer condition has been accepted.
Release a traceable document set
After the parties resolve the questions, assemble the referenced documents and the written resolutions together. Record their identifiers and make the current set accessible to the people who need it. Clearly mark superseded working copies without deleting the history. If a new revision arrives, compare it against the resolved issues before circulation. The objective is a usable, agreed set of instructions; this article does not determine legal priority or replace a qualified review of the actual agreement.

What this brief does and does not establish
This is a document-reconciliation workflow, not a legal rule about contract formation or priority. It states no MyOwnWear sale conditions. The actual documents, authorized communications and applicable professional review must establish the project’s agreed terms.

Buyer questions
Does the newest document always win?
Do not assume so. Obtain an explicit resolution and appropriate review of the actual agreement.
Is a missing term a conflict?
Not necessarily. Record the omission separately and request the instruction needed.
Can a sample approval settle commercial terms?
Do not treat it as doing so unless the actual agreement and authorized parties establish that effect.
