Sample Loan Deposit vs Sample Purchase: Clarify What the Payment Buys

Ask whether the payment secures a temporary loan or purchases the physical sample. Record the return obligation, permitted handling and settlement trigger separately; a sample invoice title alone may leave those decisions unresolved.

For brand sourcing teams offered an existing reference garment for review.

Establish the ownership and possession question

Identify the exact sample and ask who owns it during and after the review period. A loan discussion should explain what must be returned and to whom. A purchase discussion should state whether ownership of the physical garment transfers, without silently extending that transfer to artwork, patterns or other rights. Keep the sample identifier beside the payment request. This makes the question about a specific object rather than an ambiguous general promise about sampling services.

Agree what handling is permitted

Describe whether the team wants to wear, photograph, measure, forward or dismantle the sample. Request permission for each activity that matters, especially anything that changes the garment or sends it to another party. Buying a sample and borrowing it are different starting points for that discussion, but neither label should substitute for explicit use terms. If destructive review is needed, ask for a separate specimen rather than assuming a borrowed reference may be taken apart.

Define the settlement trigger in observable terms

For a deposit proposal, ask what evidence triggers return or retention of the payment and how condition disagreements are handled. Record the receiving party, return route and required acknowledgment. For a purchase, confirm whether any return arrangement exists instead of importing expectations from a loan conversation. Do not assume the amount is refundable because an email calls it a deposit. Request written confirmation of the actual commercial arrangement before authorizing payment.

Keep the physical sample separate from production approval

Record sample receipt, loan or purchase settlement and design approval as different events. A payment does not approve the garment for production, and return of a reference does not close unresolved development comments. If the sample is forwarded to a manufacturer, retain the lender or seller terms in the handoff. This prevents a receiving team from treating temporary custody as permission to copy, alter or retain an object indefinitely.

What this brief does and does not establish

This is a commercial clarification checklist, not legal advice or a statement of standard industry refund terms. Ownership, permissions, return conditions and payment treatment depend on the actual agreement.

Buyer questions

Does paying a deposit buy the garment?

Do not assume that. Ask whether the payment is security for a loan or consideration for a physical sample purchase.

Can a borrowed sample be sent to another supplier?

Confirm forwarding permission and the return responsibility before sending it onward; custody alone does not answer those questions.

Does buying a sample include pattern rights?

Keep physical ownership and intellectual-property permissions separate, and obtain the terms relevant to the intended use.
